篇一:委托設(shè)計開發(fā)服務(wù)協(xié)議(中英文)
甲方****集團(tuán)(以下簡稱“EEG”) 與乙方*****nc. (以下簡稱“SF”)就在此合同第一段所述的業(yè)務(wù)達(dá)成委托協(xié)議,該業(yè)務(wù)具體包括 “AAA和 BBB”品牌的服裝的生產(chǎn)、加工和銷售,以及該品牌服裝裝飾和任何相關(guān)的配飾。“AAA和 BBB”是由EEG在中國市場經(jīng)營。根據(jù)本協(xié)議,當(dāng)事人雙方同意通過增進(jìn)雙方的知名度和商業(yè)信譽在中國市場上推廣AAA和 BBB品牌,從而達(dá)到共贏的目的。
1. 委托雇傭范圍
為了能夠使EEG順利運作,EEG應(yīng)當(dāng)將以下的業(yè)務(wù)委托給SF,SF同意接受此委托并忠誠地履行相關(guān)義務(wù);
1) 服裝設(shè)計
(i) 按如下設(shè)計產(chǎn)品(于第一季度生產(chǎn)成品)
70種樣式的上衣和褲子(35種為AAA,35種為
BBB)
(ii) 針對新消費者(35-50歲)為AAA和 BBB設(shè)計品
牌標(biāo)志
2) 任何與以上業(yè)務(wù)相關(guān)的業(yè)務(wù)
2.業(yè)務(wù)移交
為了上述條款中的業(yè)務(wù)的順利完成,SF應(yīng)當(dāng)按照以下內(nèi)容行事。 原則上每季度應(yīng)帶AAA和 BBB設(shè)計組到往中國三次
第一次會見:針對概念和季度的顏色
第二次會見:針對設(shè)計
第三次會見:針對樣品核查
第一次會見:原則上,設(shè)計指導(dǎo)Ms. Matsumura將與參加會見。
第二、第三次會見:將參加會見。
3.款項,付款日期和付款方式
1)EEG應(yīng)當(dāng)就委托業(yè)務(wù)支付以下的委托費用。
① 年度委托費:45,000,000YEN(AAA和 BBB)
以上數(shù)值是扣除EEG在中國匯款給SF所應(yīng)繳納的預(yù)提所得稅(如果有)后的凈數(shù)值。若要繳納預(yù)提所得稅,則年度委托費將自動增加從而使扣除所繳稅后的凈數(shù)值等同于以上數(shù)值。
② 支付方式:年度委托費將被分為12次支付,EEG應(yīng)當(dāng)在每月最后的銀行工作日將款項支付給SF。EEG將承擔(dān)每次付款所涉及的其他費用。首次支付將于2000年1月21日起。
2) 原則上,EEG應(yīng)當(dāng)負(fù)責(zé)SF所有的開銷和安排,例如與本委托
協(xié)議相關(guān)的差旅費。若SF提前支付了此費用,EEG應(yīng)在SF理算后要求時償還實際的費用。并且,EEG在安排航班和住宿時,將根據(jù)相應(yīng)的級別安排;
當(dāng)事人雙方明確出發(fā)地或者是日本東京或者是意大利米蘭,這取決于參加在此第二段所述會晤的成員的所在地。
● 為Ms. Matsumura提供的航班:商務(wù)倉 酒店:四星或以上質(zhì)
量
● 為設(shè)計師提供的航班:經(jīng)濟(jì)倉,可調(diào)換時間。酒店:四星或以上質(zhì)量
4. 協(xié)議有效期
本協(xié)議有效期為兩(2)年,自2000年1月21日起至2001年12月30日止。
有效期將自動延續(xù)兩(2)年,除非一方當(dāng)事人在本協(xié)議有效期滿前至少三(3)個月通知對方當(dāng)事人不再延續(xù)協(xié)議。本條件同樣適用于之后的期限。
本協(xié)議的有效期將延續(xù)以上時間,若協(xié)議的履行應(yīng)為國家政策規(guī)定、動亂、戰(zhàn)爭、自然災(zāi)害、罷工、火災(zāi)以及其他當(dāng)事人不可抗力的原因而中止。
5. 保密義務(wù)
1)EEG和SF作為執(zhí)行者將謹(jǐn)慎處理任何所有另一方提供或披露的信息(包括由獲取方所得到的信息產(chǎn)生的次級信息)(以下簡稱“機密信息”),并且,未經(jīng)披露方書面同意,獲取方不得將機密信息披露或泄露給第三方,也不得基于以下目的適用機密信息
2)EEG應(yīng)當(dāng)保證不將受委托的設(shè)計組為以下品牌提供設(shè)計的事實公開。
3) 在沒有對方當(dāng)事人同意的情況下,EEG和SF都不得利用任何由本協(xié)議而建立的私人關(guān)系,除非是為了履行本協(xié)議。
6.協(xié)商
若雙方當(dāng)事人因本協(xié)議中未涉及的事項發(fā)生爭議,或因?qū)Ρ緟f(xié)議的條款的解釋發(fā)生爭議,雙方應(yīng)通過協(xié)商解決爭議。
7.適用的法律、語言和爭議管轄權(quán)
本協(xié)議將受日本法律管轄。日語是本協(xié)議的原本和官方語言,出現(xiàn)任何有關(guān)語言問題的爭議,以日語為標(biāo)準(zhǔn)。雙方當(dāng)事人同意東京地方法院將對任何相關(guān)的第一審訴訟以及其他與合同相關(guān)的訴訟有專屬管轄權(quán)。
雙方當(dāng)事人就此簽訂協(xié)議的原件復(fù)印件達(dá)成協(xié)議,協(xié)議原件EEG和SF雙方各保留一份。
Business Entrustment Agreement
***** Group.(hereinafter called “EEG”)an**** Inc. (hereinafter called “SF”) enter into the agreement for entrustment of the business described in this Paragraph 1 of this agreement
regarding manufacturing, development, and the sales of clothes, a clothing ornament, ornaments of dress, and any furnished accessories of the “AAA和 BBB” brand with which EEG conducts in a CHINA market. Under this agreement, both parties agree to promote AAA和 BBB business in a CHINA market through maintaining, improving both parties’ prestigious position and business credit so as to develop the mutual prosperity.
1. Scope of Commission
In order to contribute to smooth enterprise management of EEG, EEG shall entrust to SF the
business described below, and SF agrees to accept such entrustment and to accomplish its obligations in sincerity;
1)Wear Design
(i) Designs of products as follow (Productized in 1 season)
Tops and Pants 70 patterns (35 patterns forAAAand 35 patterns forBBB)
(ii) proposition of brand image of AAA和 BBB towards new customers(Age35~50’s)
2)Any business that relates to the above.
2. Performance of Consignment
SF shall conduct for the accomplishment of the business in the preceding clause as follows.
To visit CHINA three times a season in principle for the meeting with AAA和 BBB design team
First Meeting:For concept, Season Color
Second Meeting:For design
Third Meeting:For sample check
***First Meeting:Creative Director, Ms. Matsumura shall attend the meeting with <SF Design Team> in principle.
***Second, Third Meeting: <SF Design Team> shall attend the meeting.
3. Fee Amount, Due Date and Method of Payment
1) In consideration, EEG shall pay SF the following consignment fee of the commissioned business.
① Annual Commission Fee: 45,000,000 YEN (AAA和 BBB)
The above amount is the net amount after deducting the withholding tax (if any) imposed in CHINA when remitting to SF from EEG. When the withholding tax is imposed, the
annual commission fee is automatically increased so that the net amount after the
deduction of the withholding tax becomes equal to the amount of the above.
② Payment Method:annual commission fees shall be divided by twelve and EEG shall pay to
SF until the end of the bank business day of every month. EEG shall bear the service
charge at every payment. The first payment starts from Jan 21th, 2000.
2) In principle, EEG shall be responsible for any expenses and arrangements incurred by SF such as SF’s travel expenses which are related to this entrustment agreement. Also, if SF pays in advance, EEG shall reimburse to SF the amount of actual expenses based on the claim of SF at the later adjustment.
Also, when EEG arranges the airplane tickets and lodging, the rank will be as followed;
Both parties understand the departure cities are either Tokyo in Japan or Milan in Italy depending upon the location of members attending the meeting described in Paragraph 2 hereof.

在裝貨完畢的3個銀行工作日以內(nèi)支付100%運費到船東指定賬戶,.運費支付按照合同規(guī)定, 但無論如何必須在船舶卸貨之前。如果在合同規(guī)定時間內(nèi)運費仍未到達(dá)船東指定銀行賬戶,船東有權(quán)留置貨物,由此產(chǎn)生的一切費用、時間延誤和損失由租船人按照船舶實際租家損失和由此產(chǎn)生的其他損失支付給船東。全額運費未收到之前,租家無權(quán)報關(guān)和提貨。
7.2 FREIGHT DEEMED EARNED ONCE CARGO ON BOARD, NON-RETURNABLE, NON- DEDUCTABLE, WHETHER CARGO/VESSEL LOSS OR NOT.
一旦貨物裝船并簽發(fā)提單之后,無論貨物滅失與否,運費認(rèn)可不能返回,不能折扣。
8.-LOADING RATE:6,000 MT PWWD SHINC
裝率6,000噸每晴天工作日,星期日,節(jié)假日包括在內(nèi)。
-DISCHARGING RATE: 12,000 MT PWWD SHINC
卸率: 12,000噸每晴天工作日,星期日,節(jié)假日包括在內(nèi)。
9.-DEMURRAGE / DESPATCH:USD12,500 /DAY DESPATCH HALF DEMURRAGE OR PRO-RATA
滯期和速譴:滯期費率為每天12,500美元,速遣費率為滯期費率的一半,不足一天按比例計算。 ONCE ON DEMURRAGE, ALWAYS ON DEMURRAGE.一旦滯期永遠(yuǎn)滯期。
10.-N.O.R. TO BE TENDERED UPON VSLS ARRIVAL AT BENDS, WHETHER IN BERTH OR NOT, WHETHER IN PORT OR NOT, WHETHER FREE PRATIQUE OR NOT, WHETHER CUSTOM CLEARANCE OR NOT. LAYTIME NON REVERSIBLE. LAYTIME SHALL COMMENCE TO COUNT 12 HRS AFTER NOR TENDERED, UNLESS LOADING/DISCHAGING SOONER COMMENCED. IN WHICH CASE THE ACTUAL TIME USED TO COUNT.
船舶抵達(dá)裝卸港,無論是否靠泊, 無論是否進(jìn)入港口,無論是否有入港許可證,無論清關(guān)與否,都可以遞交船舶準(zhǔn)備就緒通知書。裝卸港的裝卸時間不可轉(zhuǎn)換。裝卸港起算時間:在準(zhǔn)備通知
書遞交后12個小時開始起算。如果裝卸貨提前開始,按照實際開始裝卸貨的時間計算。
10.1 CHARTERER GUARANTEE THAT CARGO AND THE DOCUMENTS MUST BE READAY FOR LOADING BEFORE VESSEL’S ARRIVAL AND COMMENCE LOADING 72 HOURS WITHIN VESSEL ARRIVAL LOADING PORT, IF NOT COMMENCE LOADING WITHIN 72 HOURS OF VESSEL ARRIVAL DUE TO CARGO/DOC NOT READY, CHARTERER SHOULD PAY DETENTION USD12,500 /DAY EVERY 3 DAYS IN ADVANCE, OTHERWISE OWNER HAS RIGHT TO WITHDRAW THE VESSEL WITH AN NOTICE BY TELEX OF FAX . OWNERS HEREBY RESERVE ALL THE RIGHTS FOR CLAIMING FURTHER LOSSES AND LIABILITIES, IF ANY, ARISING FROM SUCH WITHDRAW ACTION.
在船舶到港前,租家應(yīng)保證貨物和單據(jù)已經(jīng)備妥,并在船舶抵達(dá)后的72小時以內(nèi)裝貨,如果在船舶抵達(dá)的72小時以內(nèi)沒有裝貨是由于貨物/單證沒有備妥,租家應(yīng)每3天預(yù)付12,500美元/天的延滯費,否則船東有權(quán)以電傳或傳真形式撤銷船舶,船東有權(quán)保留對不得不撤銷船舶而產(chǎn)生的損失和責(zé)任進(jìn)一步索賠的權(quán)利。
10.2 DEMMURAGE/DESPATCH AT LOADING PORT AND DISCHARGING PORT TO BE SETTLED W/I 15 WORKING DAYS AFTER COMPLETION OF DISCHARGING AND AGAINST OWNER’S SUPPORTING DOCUMENTS SUCH AS NOTICE OF READINESS /TIME SHEET/STATEMENT OF FACT SIGNED AND CONFIRMED BY THE SHIPPING AGENCY AT LOADING/ DISCHARGING PORT. OTHERWISE OWNER IS ENTITLED TO DETAIN CGO AT DISCHG PORT, CGO QUANTITY/VALUE SHOULD BE EQUIVALENT WITH DEMURRANGE . 在裝港和卸港的速遣和滯期費在卸貨完畢之后的15個工作日以內(nèi)結(jié)算,根據(jù)船東提供的.有船代簽字蓋章確認(rèn)的裝卸準(zhǔn)備就緒通知書/申明/時間記錄。否則船東有權(quán)利在卸港扣留與滯期費等值貨物.
11.-OWNRS AGENT AT BENDS. CHTRS COULD PROPOSE THE AGENT BUT SUBJECT REASONABLE AND COMPETITIVE AGENCY FEE.
裝卸港船東代理,基于合理的代理費可以由租家推薦。
12.-CARGO TO BE RELEASED AGAINST ORIGINAL BS/L,IN THE EVENT OF NON-PRESENTATION OF ORIGINAL BILL OF LADING AT DISCHARGE PORT OWING TO THE DELAY OF BILL(S) SENDING ,OWNERS WILL DISCHARGE THE ENTIRE CARGO AGAINST CHARTERS SINGLE LETTER OF INDEMNITY SINGED BY CHATTERERS AND CONSIGEE ALTOGETHER IN ACCORDANCE WITH OWNER’S P&I CLUB WORDING WITH NEGOTIATION,THE BILL OF LOADING WILL BE SENT TO OWNER OR OWNER’S AGENT WITHIN 12 DAYS AFTER COMPLETINO OF DISCHARGING。
放貨需根據(jù)正本提單,如果在卸港正本提單延遲到達(dá),船東應(yīng)容許根據(jù)租家和收貨人提供并簽章保函的卸下全部貨物,保函格式以船東提供的符合P&I的格式為準(zhǔn),正本提單在卸貨完畢的12天內(nèi)提供給船東或其代理人。
13.-THE OWNER GUARANTEE VESSEL IS EQUIPPED WITH GOOD-CONDITION AND SUFFICIENT FACILITIES FULLY SUITABLE FOR LOADING BULK CARGO IN HOLDS AND TO PROVIDE SUFFICIENT LIGHTS AS ON BOARD FOR NIGHT WORKS AND FREE USE OF WHICH IN GOOD WORKING CONDITIONS.
船東保證船舶裝備處于良好狀態(tài)并且足夠的設(shè)備完全符合在艙內(nèi)裝載散貨,并且在甲板上提供充足的照明以便晚上作業(yè),而且處于良好工作狀態(tài)。
14.-FOR OCCASIONAL STEVEDORE DAMAGE ,NO MATTER OCCURRED AT LOADING PORT OR DISCHG PORT, CHTR/STEVEDORE HAS THE OBLIGATION TO COMPLETE REPAIR TO THE SATISFACTION OF MASTER IF REQUESTED BY OWNER BEFORE VSL LEAVES. ANY TIME LOSSES CAUSED BY CHTR’S DELAY REPAIR SHOULD BE DEEMED AS DETENTION FOR CHTR’S ACCOUNT; FOR PERMANENT STEVEDORE DAMAGE, CHTR TO PAY OWNER AS PER ACTUAL REPAIR VOUCHER WHEN VSL ENTERING DD NEXT TIME.OWNER SHOULD SEND THE DAMAGE REPORT TO CHTR WHICH SIGN BY MASTER TO CHTR WITHIN 48HRS AFTER DAMAGE OCCURRED.
裝卸公司對于船舶造成的損壞,無論發(fā)生在裝港還是卸港, 對于需要臨時性修理的損壞, 如果船東有要求,租家/裝卸公司有義務(wù)在開航前完全修復(fù)損壞直至船長滿意, 由于遲延修復(fù)所造成的任何時間損失應(yīng)被視為延滯損失并由租家來承擔(dān); 對于需要永久性修理的損壞, 租家在船下次進(jìn)塢修理時按照實際修理發(fā)票支付給船東.在損壞發(fā)生48小時之內(nèi)船東應(yīng)該把有船長簽字的損壞報告給租家。

使用金康提單,提單上的貨物數(shù)量按照發(fā)貨人以及船長的聯(lián)合水尺檢驗確定。和貨物有關(guān)的稅費由租家承擔(dān),同樣,和船舶有關(guān)的稅費有船東承擔(dān)。老齡保險由租家承擔(dān)。
16.-OWNER MUST PROVIDE THE CRANE WITH GRABER FOR LOADING.AND GTEECRN/GRAB IN GOOD ORDER,IF CRN/GRAB BREAK DOWN AND INFACT DELAY THE LOADING SHOULD DEDUCT PRO RATA.
船方在裝貨港需備吊桿抓斗.船東保證船吊/抓斗處于良好狀態(tài),若船吊壞掉并實際耽誤裝貨則裝卸時間按比例扣除。
17.-ARBITRATION IN HONGKONG AND ENGLISH LAW TO APPLY.
在香港仲裁并適用英國法律.
18.-OTHERS AS PER GENCON CP94其它條款根據(jù)GENCON94的合約.
19.-CHARTERERS G’TEE THAT NICKEL ORE IS HARMLESS NON DANGEROUS AND LOADED/CARRIED/STOWED/DISCHARGED IN ACCORDANCE WITH IMO REGULATIONS AND IMSBC CODE.AND CHARTERERS/SHIPPER PROVIDE LEGALLY MOISTURE CERTIFICATE AND ANY OTHER PROPER CERTIFICATE/DOCUMENT TO OWNR/MASTER BEFORE VESSEL ARRIVAL OF L/PORT. OTHERWISE, THE MASTER MAY REJECT A CARGO. DURING THE VOYAGE,OWNERS HAVE OPTION TO ARRANGE OWNERS SURVEYOR ON BOARD TO ENSURE SAFE LOADING OF THE CARGO.ALL THE TIME AND SURVEYOR COST TO BE FOR OWNER’S ACCOUNT IF SURVEY REPORT SHOWED CARGO IS SUITABLE FOR SAFE CARRIAGE.OTHER WISE,ALL THE TIME AND SURVEYOR COST
AND OWNERS LOSSES TO BE FOR CHARTERS ACCOUNT . IF A SUBSTITUTE CARGO IS TO BE ARRANGED, ALL COSTS AND LOSSES SHALL BE AT CHARTERERS’ ACCOUNT. TIME USED FOR CAN-TEST IF PASSED NOT TO COUNT AS LAYTIME.
租家保證鎳礦是無害的,沒有危險的,裝貨,運輸, 積載,卸貨根據(jù)IMO規(guī)則和IMSBC 規(guī)則。船舶抵達(dá)裝港前,租家/托運人須向船東及船長提供合法含水份證書以及其他適當(dāng)證書/文件。否則,船長有權(quán)拒裝貨物。船東可以安排檢驗人上船以確保安全裝貨,若檢驗結(jié)果表明貨物適合裝運,檢驗時間和相關(guān)費用由船東自行承擔(dān); 若檢驗結(jié)果表明貨物不適合裝運,檢驗時間和船東損失由租家承擔(dān)。如果租家需要安排其他替代
貨,由此而引起的費用和損失由租家承擔(dān)。CANTEST 通過,所用時間船東承擔(dān)。
20.-THE ABOVE CONTRACT WILL BE SIGNED IN ENGLISH AND/OR CHINESE WRITTING AND ITS FAX HAS THE SAME FORCE AND EFFECT AS ORIGINAL CONTRACT.
以上合同以中文和/或英文書面形式簽訂,其傳真件同原件具有同等法律效益

9. CGO SHOULD BE AT SHPRS LOAD.COUNT AND MEASUREMENT OWRS ARE NOT RESPONSIBLL FOR QTTY/QUALITY OF CGO LOADED/UNLOAD AND SHORTAGE AGAINST B/L QTTY OR DAMAGE CAUSED BY STEVEDORE EXCEPT SHIP'S DEFECT.
裝船的貨物數(shù)量及體積都是發(fā)貨人提供的數(shù)據(jù),船東對貨物裝船及卸港的數(shù)量和質(zhì)量不負(fù)責(zé),對貨物提單數(shù)量的短少或因碼頭工人裝卸時所造成的貨物損害不負(fù)責(zé),除非因為船東的過失。
10. FRT IS DEEMED AS EARNED UPON CARGO LOADED ON BOARD, DISCOUNTLESSUNDEDUCTABLE/NON-RETURNABLE WHETHER VSL/CGO LOST OR NOT LOST
所有運費在裝完貨后即視為已賺取,不得扣減,無須返還,無論船舶和/或貨物滅失與否。
11. BEFORE LOADING COMMENCES, OWNERS/MASTER SHOULD MAKE THE VSL’S HOLD TO BE CLEANED/DRIED N IN EVERY RESPECT READY TO LOAD A/M CGO
裝船前船東保證船舶裝貨前船艙干凈、干燥,適合貨物裝運。
12. OWNERS AGENTS BENDS裝/卸港代理,由船東自行指定和委托
13. ANY TAXES/DUES/WHARFAGES ON CGO TBF THE CHRTS ACCT, THE SAME ON VSL/FRT TO BE FOR OWS ACCT
任何有關(guān)船舶的稅費/碼頭費由船東負(fù)擔(dān),任何有關(guān)貨物的由租船方負(fù)擔(dān)。
14. DETENTION: CHARTERERS PAY OWNERS USD5000 PER DAY OR PRO RATA IF CARGO AND/OR DOCUMENTS NOT READY UPON VSL’S ARRIVAL AT LDG/DISCG PORTS;
如果該貨或相關(guān)單證在船舶到達(dá)裝港或卸港后未備妥,租船方須向船東每天
支付5000美圓的滯留損失(不足一天按比例支付)。
15. SHIPSIDE TALLY TO BE FOR OWS ACCT AND SHORESIDE TALLY CHTRS ACCT船邊理貨費用由船東承擔(dān),碼頭理貨由租家承擔(dān)
16L/S/D TO BE FOR CHARTER’S ARRANGEMENT
綁扎/隔票/墊艙費用如有發(fā)生,由租船人承擔(dān)。
17. SHORE CRANE CHARGE TBF CHTR ACCT AT BOTH BENDS
租船人承擔(dān)裝貨港及卸貨港的租用岸吊費用。
18. GA/ARBITRATION IF ANY IN SHANGHAI AND CHINESE LAW TO APPLY
仲裁地點在上海,中國法律適用
19. OTHERS AS PER GENCON C/P ’94 DETAILS 其它條款按金康94標(biāo)準(zhǔn)合同格式執(zhí)行

簡介:統(tǒng)一雜貨租船合同,“UNIFORM GENERAL CHARTER”,簡稱“金康合同”(GENCON),由波羅的海國際航運公會的前身“波羅的海白海航運公會”于1922年公布,1976年及1994年兩次修訂。
1. It is agreed between the party mentioned in Box 3 as the Owners of the Vessel named in Box 5, of the GT/NT indicated in Box 6 and carrying about the number of metric tons of deadweight capacity all told on summer loadline stated in Box 7, now in position as stated in Box 8 and expected ready to load under this Charter Party about the date indicated in Box 9, and the party mentioned as the Charterers in Box 4 that:
茲由第3欄所列的下述船舶所有人與第4欄所指的承租人,雙方協(xié)議如下: 船舶名見第5欄,總/凈登記噸見第6欄,貨物載重量大約噸數(shù)見第7欄,現(xiàn)在動態(tài)見第8欄,根據(jù)本租船合同作好裝貨準(zhǔn)備的大約時間見第9欄。
The said Vessel shall, as soon as her prior commitments have been completed, proceed to the loading port(s) or place(s) stated in Box 10 or so near thereto as she may safely get and lie always afloat, and there load a full and complete cargo (if shipment of deck cargo agreed same to be at the Charterers' risk and 10 responsibility) as stated in Box 12, which the Charterers bind themselves to ship, and being so loaded the Vessel shall proceed to the discharging port(s) or place(s) stated in Box 11 as ordered on signing Bills of Lading, or so near thereto as she may safely get and lie always afloat, and there deliver the cargo.
上述船舶一旦完成前個合同,應(yīng)駛往第10欄所列的裝貨港口或地點,或船舶能安全抵達(dá)并始終浮泊的附近地點,裝載第12欄所列的貨物,滿艙滿載,(如協(xié)議裝運甲板貨,則由承租人承擔(dān)風(fēng)險。)(承租人應(yīng)提供所有墊船用席子和/或木料及所需隔板。如經(jīng)要求,船舶所有人準(zhǔn)許使用船上任何墊艙木料。)承租人約束自己裝運該貨,船舶經(jīng)此裝載后,應(yīng)駛往第11欄所列的,在簽發(fā)提單時指定的卸貨港口或地點,或船舶能安全抵達(dá)并始終浮泊的附近地點,交付貨物
